Terms of Use of the Health Bar Partner Programme

By registering as a partner in the Health Bar Partner Programme (“Programme”), you agree to the following Terms of Use. Health Bar reserves the right to update these Terms of Use from time to time. Material changes will be communicated to registered partners in text form with 30 days' advance notice. Continued use of the Programme after such changes take effect is deemed acceptance.

1. Relationship to the Partner Agreement

These Terms of Use are the public framework basis for participation in the Programme. Following a successful application, Health Bar concludes an individual Partner Agreement with the partner, which governs the terms of the collaboration in detail.

In the event of any conflict between these Terms of Use and the individual Partner Agreement, the Partner Agreement shall prevail.

2. Requirements for Participation in the Programme

Participation requires:

  • A minimum age of 18 at the time of application
  • Provision of your full name, a valid email address and any further data required for the application
  • A publicly accessible profile on Instagram and/or TikTok with your own, organically grown community of approximately 1,000 followers or more
  • A predominantly DACH audience share (at least 60 %)
  • Self-employed activity (registered trade or freelance) based in the EU
  • Bank details or a PayPal account for the payment of commissions
  • Disclosure of your VAT status (standard taxation with VAT ID, small-business scheme under Section 19 UStG, or residence abroad/in a third country)
  • No direct competitive relationship as your main content
  • Maintaining the security of your account and login details
  • A maximum of one account per natural or legal person

Participation is selective. Health Bar reserves the right to reject applications at its own discretion without giving reasons. There is no entitlement to admission.

3. Payment and Calculation of Commission

Remuneration is performance-based only, on a commission basis. Commission rates depend on the tier level reached and are specified in the individual Partner Agreement (Annex A of the Partner Agreement — current rates: 10–15 % on new-customer sales, 5–7.5 % on existing-customer sales, tiered according to monthly sales volume).

Commission is calculated on the net goods value of the delivered, paid-for order that has not been withdrawn/returned. Shipping costs, taxes and voucher deductions are not included in the calculation. No commissions are paid for cancelled or returned items.

Commissions are subject to a review for fraudulent activity. Health Bar reserves the right to withhold commissions in the event of a justified suspicion of abuse.

3.1 Payment Terms

  • Frequency: monthly, on the 15th of the following month, via the GoAffPro platform
  • Minimum payout amount: 25 EUR net. Amounts below this threshold are carried over to the following month.
  • Payout form (hybrid choice per payout period):
    • Cash payout in EUR via PayPal or SEPA, or
    • A goods voucher at shop price with a +20 % bonus for use in the Health Bar shop
  • Billing form: monthly credit note within the meaning of Section 14 (2) sentence 2 UStG

The VAT treatment depends on the partner's status.

4. Sales Channels

In principle, the partner is free to choose their sales channels.

Permitted in particular are Instagram, TikTok, YouTube, Pinterest as well as personal recommendations. Advertising material may be chosen freely, provided it does not violate applicable German law (in particular copyright law, trademark law, UWG).

Not permitted in particular are:

  • Advertisements in search engines (e.g. Google Ads, Bing Ads) on Health Bar brand or product terms (“brand bidding”)
  • Publishing your personal discount code on commercial voucher-aggregator sites (e.g. Sparwelt, Gutscheinpony, MyDealz, Picodi)
  • Publishing the discount code in reviews or comments under social media posts on the official Health Bar channels
  • Advertising without proper advertising labelling in accordance with Section 5a UWG and the relevant media-law requirements (details in the Partner Agreement)

5. Attribution of Commissions

The partner software GoAffPro provides the partner with a personal discount code as well as a personalised affiliate link, which are used to attribute orders to the partner. Attribution takes place through:

  • Entering the code during the ordering process, or
  • technically, via an affiliate cookie valid for 30 days (last-click attribution)

Orders that neither use the code nor take place within these 30 days via the same browser/device cannot be technically attributed to the partner and do not give rise to any commission entitlement.

The discount code can be chosen individually by the partner within certain limits. Health Bar reserves the right to prohibit the use of certain terms (e.g. third-party trademarked names, misleading or legally problematic wording).

5.1 Excluded Products

Excluded from the discount via influencer codes are sets, bundles, subscriptions, special vouchers or already reduced items, as well as shipping costs. For orders consisting exclusively of excluded products, the code will not be applied. Nevertheless, the order can be recorded for commission purposes via the affiliate link.

6. Relationship of the Parties

Health Bar and the partner are independent contracting parties. Participation in the Programme creates no joint-venture, partnership, franchise, distribution, employment or similar relationship between the parties. The relationship is based solely on these Terms of Use and the individual Partner Agreement.

The partner carries out their activity within the framework of a self-employed, commercial or freelance activity, at their own risk and under their own responsibility. They are themselves responsible for paying all applicable taxes and social security contributions. It is incumbent upon the partner to independently register their business and — where necessary — to obtain a social-security-law assessment.

7. Claims and Software

Health Bar accepts no claims whatsoever for errors, interruptions or performance failures of its own website, the tracking system or the service providers commissioned by Health Bar (in particular GoAffPro), unless these are based on intent or gross negligence.

By accepting these Terms of Use, the partner agrees to the use of the partner software for managing clicks, orders and commissions. The numbers and amounts documented by GoAffPro are deemed binding. Further claims against this system are excluded, unless the partner can provide concrete evidence of incorrect recording.

8. Termination

Participation in the Programme may be terminated ordinarily by either party in text form (email is sufficient) with a notice period of 30 days to the end of the month.

The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in the case of:

  • violations of these Terms of Use or the Partner Agreement,
  • missing or incorrect advertising labelling,
  • conduct damaging to the reputation of the Health Bar brand,
  • publishing the code on voucher-aggregator sites,
  • fraudulent activities or misuse of the Programme.

In the case of extraordinary termination due to misuse or serious violations, outstanding commissions may be withheld.

9. Data Protection

Health Bar processes the personal data collected in the course of the application and Programme participation in accordance with our Privacy Policy.

10. Final Provisions

Applicable law: These Terms of Use are governed exclusively by the law of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

Place of jurisdiction: The exclusive place of jurisdiction for disputes arising from this Programme participation is — insofar as the partner is a merchant — the registered office of Health Bar GmbH in Berlin. Otherwise, the statutory provisions apply.

Severability clause: Should individual provisions of these Terms of Use be or become wholly or partly invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the valid provision that most closely reflects what was economically intended.
